Terms of Service

1. Agreement to Terms

By accessing or using TakedownX services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the services. These Terms constitute a legally binding agreement between you and TakedownX.

2. Use of the Service

  • You must provide accurate account information and keep it updated.
  • You are responsible for any content you upload and for complying with applicable laws.
  • You must be at least 18 years old to use the service.
  • We may update, suspend, or discontinue features with reasonable notice.

3. DMCA Takedown Services

TakedownX provides automated DMCA (Digital Millennium Copyright Act) takedown services. By using these services, you agree to the following:

3.1 Copyright Ownership Representation

You represent and warrant that you are either:

  • The owner of the copyrighted material for which you request takedowns, or
  • Authorized to act on behalf of the copyright owner

3.2 Authorization Agreement

Before filing takedowns, you must sign our DMCA Authorization Agreement, which grants TakedownX authority to act as your designated agent for DMCA purposes. This agreement includes:

  • Your legal name and contact information
  • Confirmation of copyright ownership or authorization
  • Acknowledgment of perjury penalties under 17 U.S.C. § 512(f)

3.3 Good Faith Certification

For each takedown request, you must certify:

  • You have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  • The information in the notification is accurate
  • Under penalty of perjury, you are authorized to act on behalf of the copyright owner

3.4 False Claims

⚠️ Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing may be liable for damages, including costs and attorney's fees.

3.5 Service Limitations

  • TakedownX does not guarantee removal of content, as platforms may reject takedowns
  • Response times vary by platform (typically 1-14 business days)
  • Some platforms require additional verification steps
  • We reserve the right to refuse takedown requests that appear fraudulent or abusive

4. Counter-Notices

If a counter-notice is filed against one of your takedown requests:

  • We will forward the counter-notice to you within 3 business days
  • You have 10-14 business days to file a federal court action seeking an order against the alleged infringer
  • If you do not file a court action, the platform may restore the content
  • TakedownX is not responsible for content restored due to valid counter-notices

5. Subscriptions & Billing

Paid plans are billed via Stripe. Charges are non-refundable except where required by law. You may cancel at any time and retain access through the end of the billing period.

6. Content & Intellectual Property

You retain full ownership of your content. You grant TakedownX a limited, non-exclusive license to process your content solely to provide:

  • Content fingerprinting and monitoring services
  • DMCA takedown filing and tracking
  • Evidence preservation for legal purposes

7. Prohibited Conduct

  • Filing false or fraudulent DMCA takedown notices
  • Claiming copyright over content you do not own
  • Using the service to harass or harm others
  • Attempting to breach or circumvent security measures
  • Any illegal activity or violation of applicable laws

8. Indemnification

You agree to indemnify, defend, and hold harmless TakedownX, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

  • Your use of the DMCA takedown services
  • Any false or misleading claims of copyright ownership
  • Violation of these Terms or any applicable law
  • Claims by third parties related to your takedown requests

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TakedownX does not guarantee:

  • That all infringing content will be detected or removed
  • Specific response times from platforms
  • The accuracy of automated detection systems

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TakedownX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

We may suspend or terminate access for violations of these Terms. Upon termination, your DMCA authorization remains in effect for any pending takedown requests already submitted.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
